Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legal agreement between you and Devloom ("Devloom," "we," "our," or "us") governing your access to and use of the devloomx.com website and any related services, software, APIs, or documentation (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. If you use the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization.

3. Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us promptly at [email protected] if you suspect unauthorized access.

4. License and Use of the Service

Subject to these Terms, Devloom grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. You may not:

  • Reverse engineer, decompile, or disassemble any portion of the Service;
  • Reproduce, republish, distribute, or create derivative works without our written consent;
  • Use the Service in any way that violates applicable law or regulation;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Access the Service to build a competitive product or service.

5. API Access and Usage Limits

Access to our APIs is subject to rate limits and usage policies described in the documentation. Exceeding limits may result in throttling or suspension. We reserve the right to adjust limits at any time with reasonable notice.

6. Fees and Payment

Certain tiers of the Service require payment. Fees are described on the pricing page and subject to change with 30 days' notice. All fees are non-refundable except as expressly stated. You authorize us to charge your payment method for all applicable fees.

7. Intellectual Property

All content, code, and materials on devloomx.com are owned by Devloom or its licensors and protected by intellectual property laws. You retain ownership of data you provide to the Service; you grant Devloom a limited license to use it solely to operate the Service for you.

8. Privacy

Our Privacy Policy describes how we collect, use, and share information. By using the Service, you agree to our Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DEVLOOM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF YOU HAVE NOT PAID.

11. Indemnification

You agree to indemnify, defend, and hold harmless Devloom and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may close your account at any time by contacting [email protected]. Sections that by their nature should survive termination will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration in Washington, USA under the rules of the American Arbitration Association. The arbitration will be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Service at least 14 days before the change takes effect. Your continued use after the effective date constitutes acceptance of the revised Terms.
